Effective Date and Scope

True Ventures Management, L.L.C. (“True Ventures”) operates several websites and platforms, including trueventures.com, trueventures.ai, trueventures.polsia.app, and True Connect (an invitation-only community at connect.trueventures.com). These Terms govern your access to all such sites and services collectively.

Binding Agreement

These Terms constitute a binding contract between you and True Ventures. Your use of any Services means you agree to all terms, which include provisions in the Privacy Policy and Code of Conduct. Additional policies may apply to specific Services.

PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

Arbitration Notice

Users acknowledge that EXCEPT FOR CERTAIN TYPES OF DISPUTES, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION with a class action waiver.

Terms Modifications

True Ventures reserves the right to change these Terms anytime. Updated versions appear on the Sites or True Connect. Continued use after changes indicates your acceptance. Only written amendments signed by both parties supersede these Terms.

Users should review the separate Privacy Policy for details on how True Ventures handles personal information.

Account Access and Basics

Registration and Account Creation

Users may request True Connect accounts by emailing legal@trueventures.com. Upon verification, an account is created and users select a username (True Connect User ID) and provide contact information.

Users warrant they:

• Provide accurate, complete, updated registration information
• Won’t select names they don’t have rights to or impersonate others
• Are of legal age to form binding contracts
• Won’t transfer accounts without written permission

Account Security and Responsibility

Users must:

• Keep their True Connect User ID, login credentials, and access tools secure
• Not share account information with anyone
• Accept responsibility for all account activity

Users state they’ll use Services only for their own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to them.

Messaging Communications

By providing a wireless number, users confirm they want to receive True Ventures communications, including automated text messages. Users represent that each person they register for the Services or for whom they provide a wireless phone number has consented to receive communications from True Ventures. Users indemnify True Ventures for breaches of these messaging terms.

Usage Restrictions

Users represent and warrant they will not provide content or use Services in ways that:

1. Infringe intellectual property or other rights
2. Violate laws or regulations
3. Are dangerous, fraudulent, threatening, harassing, defamatory, or obscene
4. Jeopardize account security
5. Attempt to obtain login credentials or security information from others
6. Violate computer network security
7. Engage in spam, auto-responders, or processes that interfere with Services
8. “Crawl,” “scrape,” or “spider” pages or data
9. Copy substantial Content portions
10. Decompile, reverse engineer, or obtain source code

Violations are grounds for termination.

Intellectual Property Rights

Content Ownership and License

True Ventures owns the Services and all displayed materials (“Content”), protected by copyright and intellectual property laws. Users promise to abide by all copyright notices and restrictions.

True Ventures grants each user a worldwide, non-exclusive, non-sublicensable and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Services. Users cannot use, copy, modify, or exploit Content without owner consent, except as expressly provided.

User Submissions and Licenses

Anything users post, upload, or provide through Services is a “User Submission.” Users are solely responsible for accuracy and legality.

Users agree not to post submissions that:

• Infringe copyrights or other rights
• Contain sexually explicit content
• Include hateful, defamatory, or discriminatory content
• Exploit minors
• Depict unlawful acts or extreme violence
• Show animal cruelty
• Promote fraudulent or dubious money-making schemes
• Violate laws

By submitting User Submissions, users grant True Ventures a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, truncate, aggregate, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions.

True Ventures will not share User Submissions publicly without permission. These licenses survive account termination but don’t affect users’ other ownership rights or ability to grant additional licenses.

Copyright Infringement

True Ventures respects intellectual property rights and reserves the right to delete allegedly infringing content and terminate repeat infringers’ accounts. Report copyright concerns to legal@trueventures.com.

User Responsibility and Third-Party Content

Users bear sole responsibility for all posted information and Content. True Ventures isn’t liable for errors, omissions, or damages. Users access all information at their own risk.

True Ventures cannot control how users interpret Content or what actions they take based on it. The company cannot guarantee user identity or control which users access Services.

Third-Party Websites and Services

Services may contain links to non-True Ventures sites. Users accept risks in accessing third parties and release True Ventures from liability. True Ventures has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites.

Interactions with third parties, including payments and deliveries, occur solely between users and those parties. Users investigate before transacting and agree True Ventures isn’t liable for losses from third-party dealings.

Dispute Resolution

True Ventures isn’t obligated to mediate user disputes. Users release True Ventures, its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature related to disputes with other users.

AI Tools and Features

Backend AI Functionality

True Ventures uses AI tools (like ChatGPT and Claude) to power Services components, in particular those services made available on True Connect, including the sorting, ordering and classifying of both Content and User Submissions. AI improves search, navigation, recommendations, and allows users to query benchmarking comparison data from portfolio companies (in de-identified and aggregated form) and receive customized answers including through charts via chat interface.

AI Avatars and Conversational Interfaces

Some Services include AI-powered conversational interfaces or “AI avatars” that are designed to simulate a dialogue with a True Ventures partner or representative.

Users acknowledge:

• These avatars are AI-generated experiences and do not represent the actual views, opinions, advice, or statements of any specific True Ventures partner, employee, or representative
• Responses may be incomplete, inaccurate, outdated, or unsuitable for your particular situation
• No fiduciary relationship, advisory relationship, or attorney-client relationship is created
• Users should independently verify information and consult professionals

AI-Personalized Content

Some Services allow users to personalize content via third-party AI platforms. Users are redirected to platforms not owned by True Ventures. Content submitted to third-party platforms follows that platform’s own terms of service and privacy policy.

True Ventures has no control over and assumes no responsibility for how those third-party AI platforms collect, store, process, or use your information. True Ventures disclaims responsibility for accuracy or appropriateness of third-party AI output.

AI Output Disclaimer

All output generated by AI features within the Services is provided for informational and exploratory purposes only. True Ventures expressly disclaims any liability for decisions made in reliance on AI-generated content.

Data Handling

Information shared with AI features, including questions, prompts, and any personal or business information, may be transmitted to and processed by AI models operated by True Ventures or its third-party providers. Users should review the Privacy Policy and avoid sharing sensitive personal, financial, or confidential third-party information.

Service Changes

True Ventures may suspend or discontinue any part of the Services, or introduce new features or impose limits on certain features. The company tries to notify users of material adverse changes but cannot always do so. True Ventures can remove any Content from the Services at any time, for any reason, in our sole discretion, and without notice.

Account Termination

Users can stop using Services anytime by contacting legal@trueventures.com (for True Connect) or simply ceasing to access Sites. See the Privacy Policy regarding information after termination.

True Ventures can terminate (or suspend access to) your use of the Services or your True Connect account for any reason in our discretion, including your breach of these Terms. Account termination may result in destruction of any Content associated with your account.

Users who accidentally delete accounts should contact legal@trueventures.com immediately, though recovery isn’t guaranteed.

Survival of Provisions

Certain provisions survive termination: indemnification obligations, liability limitations, ownership/IP terms, and dispute resolution terms including arbitration.

Warranties and Disclaimers

Warranty Disclaimer

True Ventures and its licensors, suppliers, partners, parent, subsidiaries or affiliated entities make no representations or warranties concerning the Services, including without limitation regarding any Content contained in or accessed through the Services.

THE SERVICES AND CONTENT ARE PROVIDED BY TRUE VENTURES (AND ITS LICENSORS AND SUPPLIERS) ON AN ‘AS-IS’ BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY SHALL ANY OF THE TRUE VENTURES PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF ONE-HUNDRED ($100) DOLLARS.

Indemnification

Users indemnify True Ventures Parties for claims arising from or in any way related to any claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms.

Governing Law

These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to the conflicts of laws provisions thereof.

Arbitration Agreement

Dispute Resolution Process

Parties must first attempt good-faith negotiations to resolve disputes. If unsuccessful, disputes are finally settled by binding arbitration in San Francisco County, California, in accordance with the JAMS Streamlined Arbitration Rules and Procedures.

Arbitration Fees

True Ventures will pay all arbitration fees for claims less than seventy-five thousand ($75,000) dollars. True Ventures will not seek its attorneys’ fees and costs in arbitration unless the arbitrator determines that your claim is frivolous.

Jury Trial Waiver

YOU AND TRUE VENTURES WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. Arbitration procedures are typically more limited, more efficient, and less costly than rules applicable in court.

Class Action Waiver

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS.

Opt-Out Right

Users may opt out within 30 days of accepting Terms by mailing written notice to: 575 High Street, Suite 400, Palo Alto, CA 94301, Attn: Legal. The notice must include name and residence address, email and/or telephone number, and a clear opt-out statement.

Miscellaneous

Users are responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments, though True Ventures may handle these at its discretion.

Non-exercise of rights doesn’t waive future rights. If any Term provision is unenforceable, it’s limited or eliminated to minimum extent necessary, with remaining Terms in full force.

These Terms are the complete and exclusive statement of the mutual understanding between you and True Ventures, and supersede and cancel all previous written and oral agreements.

Users are not an employee, agent, partner, or joint venture of True Ventures, and do not have any authority of any kind to bind True Ventures in any respect whatsoever.
